Creator Agreement

This Creator Agreement (the “Agreement”) is a binding contract between TubeMentor AI and each creator who publishes an AI mentor. It applies in addition to the Terms of Service and Privacy Policy. Effective date: June 25, 2026.

By creating an AI mentor you confirm you are 18+, a US-eligible payee, and that you own or have written permission to use every piece of content connected to your mentor — including videos, audio, PDFs, scripts, notes, images, voice samples, brand names, logos, and social-media posts.

1. Identity and consent

You confirm that the AI mentor represents only you. You will not include any other real person's name, photo, voice, likeness, brand, or identity without that person's prior written permission. You will not allow another person to operate your account on your behalf without notifying TubeMentor AI.

2. Content ownership and license to TubeMentor AI

You retain ownership of your uploaded content (“Creator Content”). You grant TubeMentor AI a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, display, transcribe, embed, index, and process the Creator Content solely to (a) operate the Service, (b) train, fine-tune, and serve your AI mentor, and (c) generate derivative outputs to your subscribers. We will not use your Creator Content to train other creators' mentors or any general-purpose foundation model.

3. Name, image, likeness, and voice (publicity rights)

You grant TubeMentor AI a limited license to use your name, photo, likeness, brand, and (if you opt in) voice clone solely to operate and promote your AI mentor on the Service. This license terminates when you delete your mentor, except for residual archival copies retained for legal compliance.

4. Approval and admin review

Before going public, you must personally review and approve your AI mentor — including bio, photo, voice, behavior, and sample answers. A TubeMentor AI admin must then approve the mentor. We may reject or remove any mentor for safety, identity, copyright, or quality reasons.

5. Revenue share and payouts

Unless otherwise agreed in writing, TubeMentor AI pays creators 70% of net subscription revenue attributable to their mentor (subscription revenue received minus payment-processing fees, refunds, chargebacks, sales tax, and fraud losses). Payouts are made monthly via our payout provider once your balance exceeds US $50. You must complete tax onboarding (W-9 for US persons or W-8BEN/W-8BEN-E for non-US persons) before your first payout.

6. Taxes (1099-NEC / 1099-K)

You are an independent contractor, not an employee or partner of TubeMentor AI. You are responsible for all federal, state, and local taxes on your earnings. We will issue IRS Form 1099-NEC and/or 1099-K as required by US law. You agree to provide accurate tax information and to update it promptly when it changes.

7. Disclaimers required on every mentor

TubeMentor AI will display required disclaimers on each profile and inside chat making clear the AI is not you speaking live. You will not contradict these disclaimers or imply real-time live conversation.

8. Prohibited content and conduct

  • Medical diagnosis, prescriptions, or licensed therapy
  • Personalized legal, tax, financial, immigration, or investment advice presented as professional advice
  • Content that infringes copyright, trademark, or publicity rights
  • Sexual content, harassment, hate speech, violence, or illegal activity
  • Deceptive earnings claims, MLM recruitment, or unregistered securities offers

9. Indemnification

You will defend, indemnify, and hold harmless TubeMentor AI from claims arising from your Creator Content, your breach of this Agreement, your use of third-party materials, or your tax obligations.

10. Suspension, removal, and termination

TubeMentor AI may remove any mentor, suspend payouts pending investigation, or terminate the Agreement for breach, legal risk, or repeat policy violations. You may terminate at any time by deleting your mentor; earned, undisputed payouts will still be paid on the next scheduled cycle.

11. Confidentiality and platform data

Non-public platform data (subscriber identities, internal analytics, prompt systems) is confidential. You will not scrape, export, or share it.

12. Governing law and disputes

This Agreement is governed by Delaware law. Disputes are resolved by individual arbitration as described in the Terms of Service.
